and empowered to pay reasonable compensation for services rendered and to make payments and
<br /> distributions in furtherance of the purposes set-forth in Article 2 hereof.
<br /> No substantial part of the activities of the corporation shall be carrying on of propaganda, or
<br /> otherwise attempting to influence legislation (except as otherwise provided by 501(h)) or
<br /> participating in, or intervening in (including publishing or distribution of statements) any political
<br /> campaign on behalf of or in opposition to any candidate for public office.
<br /> Notwithstanding any other provisions of these articles, the corporation shall not carry on any
<br /> other activities not permitted to be.carried on by a corporation exempt from Federal Income Tax
<br /> under 501(c)3 of the Internal Revenue Code of 1986, and shall not carry on any activities not
<br /> permitted to be carried on by an organization exempt from Federal income tax under IRC 501(c)3
<br /> or corresponding provisions of any subsequent tax laws.
<br /> Upon the dissolution of the corporation, the Board of Trustees shall, after paying the liabilities of
<br /> the corporation, shall dispose of all assets of the corporation to such organization or organizations
<br /> organized and operated exclusively for charitable, educational or religious purposes and qualify as
<br /> an exempt organization or organizations under sections 501(c)3 of the Internal Revenue Code of
<br /> • 1954 and by amendments thereto, Such assets not so disposed of shall be,disposed of by the
<br /> Court of Common Pleas of the county in which the principal office of the corporation is then
<br /> located, exclusively to such purposes or to such organizations, as said court shall determine,
<br /> which are organized and operated exclusively for such purposes.
<br /> The liability of the corporation shall be limited to the net worth of the corporations assets and
<br /> holdings and shall not infringe on the private property of organizational members, executive
<br /> officers, trustee's or and other individuals associated with the corporation.
<br /> In furtherance of its foregoing purposes and subject to the foregoing limitations, the corporation
<br /> shall have all powers and authority and may engage in all activities which are permissible to a
<br /> corporation organized under the provisions of Chapter 180 of the General Laws of the
<br /> Commonwealth of Massachusetts, as the same may be amended from time to time, including
<br /> without limitation, the following powers and authority To buy, lease, or otherwise acquire, own,
<br /> construct, improve, maintain, manage, operate, mortgage, lease, sell or otherwise dispose of
<br /> personal property, tangible and intangible, or real estate and buildings and improvements thereon;
<br /> to enter into contracts, to borrow money for and of it's purposes and in connection therewith to
<br /> issue its bonds, debentures, notes or other evidences of indebtedness therefore and to secure the
<br /> same by mortgage, pledge, purchase, lease, own, use, sell or otherwise dispose of, take or grant
<br /> licenses or other rights with respect to, trademarks, copyrights, patents or inventions of any kind;
<br /> to receive from any source outright, in trust or otherwise, by gift, bequest, or otherwise, and to
<br /> hold cash, securities and real and personal property to the extent from time authorized by law.
