Chair responded with Mashpee's opinion that would identify whether the facility's new use be <br /> managed by the Board of Managers with Bourne as the lead town or to issue an RFP. Mr. <br /> Barrett agreed. Chairman Laurent stated that any cost or revenue would be shared by the <br /> member towns, even though the facility may not be used for municipal purposes. The Chair <br /> stated that there would be a conflict of interest if Bourne wished to operate the facility on behalf <br /> of the town of Bourne, while a member of the Board, so as a result, would need to be part of the <br /> RFP process. Mr. Jack indicated that more information was needed and Mr. Tilton agreed that <br /> he wanted to see the capital costs and revenuepotential, Mr. Barrett noted that Bourne would <br /> need a commitment prior to putting together a plan, adding that it was possible that the plan may <br /> not work for the Board, who may prefer an RFP. <br /> Mr. Tilton inquired whether Bourne was willing to move forward without Executive Session and <br /> Mr. Barrett responded that he would like a decision from Counsel because it was difficult to <br /> provide the hard numbers. Chairman Laurent inquired what contracts would be needed if <br /> Bourne was serving as a lead while the Board of Managers operated the facility. Mr. Barrett <br /> responded that a contract would be needed for the disposal of materials. The Chair inquired <br /> where the residuals would come from and Mr. Barrett responded, listing examples of customers <br /> who had delivered to the Bourne facility, which included some businesses located off Cape. Mr. <br /> Barrett also listed processors located off Cape. The Chair summarized that materials would be <br /> trucked from various locations to the facility, and then railed off Cape, noting that contracts <br /> would be negotiated with processors to guarantee tonnage. Mr. Barrett responded that the Board <br /> of Managers could negotiate the contracts or Bourne could take on some of the risk, followed by <br /> reporting the results to the Board. Mr. Barrett stated that the model would be developed based <br /> on the marketplace. The Chair noted that there could be concern regarding increased trucking <br /> through member towns, including a possible concern from the Cape Cod Commission. Mr. <br /> Barrett confirmed that a new permit would be needed from DEP but it would be based on the <br /> same tonnage as the existing permit. Mr. Barrett added that C&D waste would be less dense on <br /> the trucks, creating more truck traffic. Mr. Barrett indicated that truck studies could be <br /> completed based on his own facility. <br /> From an RFP perspective, Mr. Jack noted that a public/private partnership with the Board would <br /> allow control and a tangible benefit, but not the responsibility of contracts. The Chair indicated <br /> that if Bourne was the lead, the Board would be negotiating the contracts. Mr. Jack expressed <br /> his belief that Bourne would present a plan outlining the benefits and risks and expectations, with <br /> a single contract with Bourne. There was discussion regarding possible conflict of interest, and <br /> an inquiry as to whether Bourne would need to go through the RFP process. Mr. Tilton inquired <br /> how Bourne would negotiate contracts on behalf of the Board. Mr. Barrett responded that he <br /> would not negotiate on behalf of the Board, but would meet with vendors and discuss scenarios <br /> based on volume, following up with the Board. <br /> Mr. Jack stated that he wanted to be fair to Bourne but expressed concern about timing. Mr. Jack <br /> inquired about Bourne's timeline to formulate a proposal and inquired whether the Board should <br /> also consider releasing an RFP. The Chair stated that an RFP may eliminate Bourne due to the <br /> conflict of interest. Mr. Barrett responded that if Bourne went through the RFP process, they <br /> may be part of someone else's proposal. Mr. Barrett suggested the possibility of Bourne <br /> working on their proposal while concurrently pursuing the RFP process. <br /> 2 <br />
