Sale of the property located at 348 Main Street, Mashpee, MA <br /> Dear Jan Aggerbeck, <br /> This Letter of Intent(the"Letter")summarizes the basic business terms and conditions upon which <br /> Sunrise Nominee Trust(the"Seiler")would sell the property located at 348 Main Street in Mashpee <br /> (the"Property")to Magni, Inc.or assignee(the"Buyer°'). <br /> 1. Property Description.The Property is located at 348 Main Street, Mashpee,as shown in <br /> Foreclosure Deed recorded on Book and Page; 26435-43 of the Barnstable Country Registry of <br /> Deeds. The property is a +1-3.6 parcel shown on the Town of Mashpee Assessing records as <br /> parcel ID 36-51-0. <br /> 2. Purchase Price.The Purchase Price for the Property would be Seven Hundred and Eighty-Four <br /> Thousand Dollars(3784,000,00) payable in cash (the"Purchase Price'). <br /> 3. Purchase&Sales Agreement Purchaser and Seller will negotiate in good faith a Purchase& <br /> Sales Agreement(the"Purchase Agreement"). The Purchase Agreement would be strictly on an <br /> "as is"basis. Seller to provide initial draft of Purchase Agreement. <br /> a. Timing of Purchase A ragment,The Buyer and Seller hereto shall execute the Purchase <br /> Agreement on or before 30 days after receipt. <br /> 4. Approval.Approval of the Property and Closing shall be contingent on the Buyer's ability to <br /> obtain financing at reasonable market terms. Buyer and Seller acknowledge that no brokers have been involved with the transaction <br /> contemplated,herein. Buyer and Weller indemnify each other regarding brokerage commissions <br /> due to any person or entity. <br /> 6.
