Compliance Certificate <br /> Re: Unit 24B Center St., Mashpee, Barnstable County, Massachusetts (the "Property"). <br /> The undersigned Chairman of the Town of Mashpee Board'of Selectmen, acting on behalf of the <br /> Town of Mashpee ("Town"), hereby certifies as follows with respect to a certain Affordable <br /> Housing Restriction imposed by the Deed Rider for Comprehensive Permit Projects annexed to <br /> and made part of that certain Deed, dated March 10, 2006, filed with the Barnstable Land Court <br /> Registry, Certificate # C357-24B, Document 1,028,133 with respect to the Property having an <br /> address of Unit 24B Center St., Mashpee, Barnstable County, Massachusetts (The "Seller's <br /> Affordable Housing Restriction"): <br /> Whereas,the Property referred to hereinabove is subject to the terms and conditions of the Seller's <br /> Affordable Housing Restriction and the Comprehensive Permit referenced therein; <br /> Whereas, the Grantee identified in the Seller's Affordable Housing Restriction has duly notified <br /> the Town and the Monitoring Agent of his intention to convey the Property; <br /> Whereas, despite diligent marketing efforts the Monitoring Agent and the Grantee have been <br /> unsuccessful in locating an Eligible Purchaser for the Property at the Maximum Resale Price; <br /> Whereas,the Town has declined its option to purchase the Property at the Maximum Resale Price; <br /> Whereas, pursuant to Article 40) of the Seller's Affordable Housing Restriction, The Grantee has <br /> conveyed the Property to a third-party purchaser for fair market value (the "Purchaser"); <br /> Whereas, the Maximum Resale Price for the Property is $189,317.00. The consideration paid by <br /> the Purchaser to the Grantee for the purchase of the Property is $180,000.00; <br /> Whereas, pursuant to said Article 40), the consideration paid by the Purchaser is not in excess of <br /> the Maximum Resale Price, thus, there are no excess funds to be paid by the Grantee to the Town <br /> for deposit into the Mashpee Affordable Housing Fund; <br /> Now, Therefore, in consideration of the recitals set forth hereinabove, the Town hereby issues this <br /> Compliance Certificate to reflect that all rights, restrictions, agreements and covenants contained <br /> in the Seller's Affordable Housing Restriction are henceforth null and void and that the sale of the <br /> Property to the Purchaser is consistent with the terms of said Seller's Affordable Housing <br /> Restriction. <br /> Upon conveyance of the Property by the Grantee to the Purchaser and the recording of this <br /> Compliance Certificate,the rights,restrictions,agreements,and covenants contained in the Seller's <br /> Affordable Housing Restriction shall be null and void. <br /> All defined terms used herein shall have the definition set forth in the Seller's Affordable Housing <br /> Restriction unless otherwise defined herein. <br />
