Best Efforts. The parties agree that they shall devote their best efforts to the fulfillment of their respective duties and obligations hereunder in accordance with the provisions of this Agreement.. 11. Successors and Assigns; Assignment; Parties in Interest. The benefits and obligations of this Agreement shall inure to and be binding upon the Parties hereto, their respective successors and assigns; provided,however, that no Parry may assign its interest or obligations hereunder, nor delegate its duties or obligations hereunder, without the prior written approval of the other Parry, and without such other approvals as may be required by law. Nothing in this Agreement, express or implied, is intended or shall be construed to give to any person other than the Parties hereto any right, remedy or claim under or by reason of this Agreement. 12. Severability. In the event that any portion of this Agreement is determined to be null, void or unenforceable by any court of competent jurisdiction, then the remaining provisions of this Agreement shall remain in full force and effect unless such result would defeat the general purposes and goals of I this Agreement. 13.
