ARTICLE II The corporation is organized and will be operated to: (a) purchase and thereafter own and operate a private golf,tennis, fitness, swimming,and social club on a not for profit basis but exclusively for the social,athletic,pleasure, recreation and other nonprofit purposes of its members,all pursuant to such Hiles and policies as shall be set forth in the Rules and Regulations and lay-Laws of the corporation; - (b) promote social intercourse, further athletic exercise,promote the cultural, athletic and recreational interest of its members,promote the general welfare of its members and maintain certain recreational facilities,for the . benefit of its members; and (c) do any and all lawfol activities which may be necessary,useful or desirable for the furtherance, accomplishment,fostering or attainment of the foregoing purposes(including but not limited to,to purchase,rent, lease, let, hold, own buy, convey,mortgage, bond,sell or'assign property, real, personal or mixed,and to borrow money,whether secured or unsecured), and to have,possess and exercise all those powers expressly conferred upon nonprofit corporations by the laws of the Commonwealth of Massachusetts,and to do and perform all such other acts and things and engage in any lawful act or activity as may be allowed by the laws of the Commonwealth of Massachusetts with respect to nonprofit corporations as those laws now exist or as they may hereafter provide and to have and exercise all powers necessary or convenient to effect any or all of the purposes for which the corporation is organized: • •f.
