09/07/07 11:39 FAX 5163526523 GREENBLATT Q 004 <br /> • <br /> CERTIFICATE OF INCORPORATION <br /> FRIENDS OF THE ADUJA CENTER FOR DISEASE CONTROL INC. <br /> Under Section 402 of the Not-For-Profit Corporation Law_ <br /> The Undersigned, for the purpose of forming a corporation pursuant to Section 402 <br /> of the Not-For-Profit Corporation Law State of New 'Y'ork, does hereby certify and set <br /> forth: <br /> FIRST: The name of the corporation is FRIENDS OF THE ABUJA CENTER <br /> FOR DISEASE CONTROL INC. <br /> IA: The English translation of the corporate name is FRIENDS OF THE ABUJA (a <br /> • province in Nigeria) CENTER FOR DISEASE CONTROL INC. <br /> SECOND: The corporation is a corporation as defined in subparagraph (a) (5) of <br /> Section 102 (Definitions) of the Not-For-Profit Corporation Law. <br /> THIRD: The purpose or purposes for which the corporation is formed are as <br /> follows_ <br /> To create, form and establish a charitable organization to support, promote, foster <br /> and encourage research on disease control and prevention in Nigeria; to create, establish <br /> and conduct programs designed to increase organized community efforts with respect to <br /> disease control and prevention; to plan, formulate and implement programs, projects and <br /> activities in cooperation and in coordination with governmental agencies and other <br /> community organizations with reference to the care and treatment of infectious diseases. <br /> Nothing herein shall allow the corporation to use the titles or terms restricted under Title <br /> VIII of the State Education Law, including but not limited to the following: medicine, <br /> physician, physician assistant, psychologist, psychology, psychological, licensed master <br /> social worker, licensed clinical social worker, licensed mental healtb counselor, licensed <br /> psychoanalyst, licensed marriage and family therapist, licensed creative arts therapist, <br /> occupational therapist, registered nurse, nurse practitioner, or licensed practical nurse. <br /> Nothing herein shall allow the corporation to use the titles or terns restricted under Title <br /> VIII of the State Education Law, in particular, the professions of medicine, psychology, <br /> licensed master social work, licensed clinical social work, nursing, licensed creative arts <br /> therapy, psychoanalysis, licensed marriage and family therapists, and licensed mental <br /> • health counselors, or occupational therapy. The corporation will restrict the provision of <br /> counseling services to instruction, advice, support, encouragement, or information to <br /> individuals, families, and relational groups as long s this does not include the diagnosis or <br /> treatment of mental, emotional, nervous, or behavioral disorders.
