ARTICLE II
<br /> To engage in the sale, ordering, delivering, shipping and handling in any normal manner furniture
<br /> and other items associated with furniture as principal or agent or otherwise; to conduct that business
<br /> and all of its branches; and to do such other things as are incidental, proper, or necessary in the
<br /> operation of the business and in the carrying out of any or all of its purposes; to construct, erect, own,
<br /> equip, maintain, operate, and use and to contract with others to construct and erect, and to lease to
<br /> others to maintain, operate, and use electrical shops, storehouses, office buildings, and buildings of all
<br /> kinds, and to pay for the construction, errection, or equipment of those buildings in cash, stock, or
<br /> bonds of this corporation of otherwise.
<br /> To purchase or otherwise acquire, invest in, hold, own, use, lease (as lessor or lessee), license
<br /> (as licensor or licensee), mortgage, pledge, import, export, sell, convey, assign, exchange, transfer or
<br /> otherwise dispose of, trade, deal in and with, or to act as agent, factor, jobber, broker, consignee or
<br /> distributor in connection with, the sale, delivery or distribution of,.machinery, appliances, goods,
<br /> wares, articles, commodities, merchandise and personal property, or any right or interest therein, of
<br /> every class and description wheresoever situated; and, in general, to carry on a general mercantile and
<br /> trading business, without restriction as to class of products or merchandise, in all parts of the world or
<br /> wheresoever.
<br /> To be a partner or joint venture in any business enterprise or venture which, under law or

<br /> se Articles of Organization, the corporation could conduct by itself, and to conduct such business
<br /> erprise as a partner or joint venture, including the power to form, operate and dissolve such
<br /> nerships and joint ventures.
<br /> To acquire by purchase, lease, exchange, or otherwise, the whole or any part of the goodwill,
<br /> patents, business, trade names, rights, licenses, and property of any person or persons, firm
<br /> association or corporation heretofore or hereafter engaged in any of those businesses or any similar
<br /> business or businesses that this corporation is authorized to carry on, and pay for the same in cash, in
<br /> stock or other securities of this corporation or otherwise, and hold, and in any manner, dispose of, the
<br /> whole or any part of the property so acquired, and to conduct in any lawful manner, the whole or any
<br /> part of the business or businesses so acquired.
<br /> To enter into, make and perform contracts of every kind and description with any person,
<br /> firm or association, corporation, municipality, county, state, body politic or government or colony or
<br /> agencies or subdivisions thereof.
<br /> To borrow money, to issue notes, bonds or other obligations, secured or unsecured, of the
<br /> corporation. for any purpose for which it is incorporated, to undertake, assume or guarantee
<br /> obligations or liabilities of others, whether or not controlling, controlled by or under common control
<br /> with this corporation, and to mortgage, pledge or otherwise encumber any and all of its real or
<br /> personal property for the benefit of others, whether or not controlling, controlled by or under common
<br /> ontrol with this corporation, all the foregoing as determined by this corporation to be in furtherance
<br /> its business purposes.
