ASZS GROUP, INC. Action by Written Consent of the Board of Directors A Special Meeting of the Board of Directors of the corporation was held at the time, date, and place set forth below: Date: October 22, 2018 Time: 7:00 p.m. Place: Mashpee, MA The undersigned, being all of the Directors of ASZS GROUP, INC., a Massachusetts corporation, do hereby adopt and consent to the following votes and actions and direct the Clerk to make this instrument a part of the records of the Board of Directors of this corporation: VOTED: That the corporation shall accept the return of any outstanding shares owned by Mohammad A. Sattar and consents to the transfer of said stocks to Zohaib Shahid for the sum of $12,500.00. VOTED: That the sale and issuance of shares shall be conducted in compliance with IRC Sec. 1244 so that the corporation and its shareholders may obtain the benefits of IRC Sec. 1244. VOTED: To proceed to the election of directors and officers. A ballot was had for Directors and Officers and upon all votes being counted, all votes cast were found to be for Zohaib Shahid, who was thereupon declared duly elected, qualified, and entered upon his duties as Director of ASZS GROUP, INC. A ballot was had for President and Treasurer and upon all votes being counted, ail votes cast were found to be for Zohaib Shahid,who was thereupon declared duly elected, qualified, and entered upon his duties as President and Treasurer of ASZS GROUP, INC. VOTED: That the corporation appoints Zohaib Shahid as Manager. VOTED: To submit an application to the Town of Mashpee for Change of Manager, Change of Officers and Directors, and Transfer of Stock.
