V. OTHER PROVISIONS <br /> 5.1 Captions. The captions hereunder are for the convenience of the parties and shall not <br /> control or affect the interpretation or construction of this Agreement. <br /> 5.2 Controlling Law. This Agreement shall be construed under and governed by the <br /> laws of the Commonwealth of Massachusetts. <br /> 5.3 Counterparts. This Agreement may be executed in any number of counterparts, each <br /> of which shall be an original,but all of which shall,together, constitute one and the same <br /> instrument. <br /> 5.4 Entire Agreement. This Agreement and the Agreements and documents referred to <br /> herein constitute the entire Agreement of the parties with respect to the transactions <br /> contemplated hereby and supersede all other Agreements between the parties,whether written or <br /> oral,with respect to such transactions. This Agreement may not be amended, except in writing <br /> signed by all of the parties hereto. <br /> 5.5 Binding Effect. This Agreement shall inure to the benefit of and bind the parties <br /> hereto and their respective heirs, successors and assigns. <br /> 5.6 Costs,Expenses,Etc. Each party shall pay its respective costs, expenses, legal fees, <br /> etc. incurred in connection with this transaction. <br /> 5.7 Representations and Warranties.
