<br /> liabilities incurred hn or in connection with any such claim or proceeding brought thereon, and the defense thereof.
<br /> 'Phis provision shall survive the to n1l'nation of this Lease.
<br /> Section 7.2. Assurnpt on of Risk. Tenant shall use and occupy the Prenuses and the conuiion
<br /> areas at its own risk. Landlord shall have no responsibility for any dunnage to Tenant's leasehold improveanents,
<br /> fixtures or other personal property except in the event that said loss or damage is directly and in-miediately
<br /> caused by Landlord's gross negligence or willful misconduct, without linniting the foregoing, in no event shall
<br /> Landlord be responsible for any damage to, or loss of, Tenant's property due to burglary or theft (Tenant shall
<br /> be solely responsible, at Tenant's sole cost and expense, for security for the Prenuses); nor shall Landlord be
<br /> responsible for any damage, nuisance, interference or loss that may be occasioned by third parties, including
<br /> persons occupying any other part of the Shopping Center or the area.
<br /> Section 7.3. Tenant's Insurance. Tenant shall maintaha at its expense. (a) coinnnnerci.al general
<br /> liability insurance with respect to the Prellll'ses and the business operated by Tenant at the Shopping Center,
<br /> having hnl.ts of not less than $2,000,000 on a combined single llnut per occurrence with a general aggregate
<br /> limit of$3,000,000, and contanmzg a contractual liability endorsement; (b) special form casualty insurance for
<br /> the full replacement value of Tenant's fixtures, merchandise, equipnlent and other personal property, and all
<br /> leasehold improvements made by Tenant; (c) worker's compensation insurance (in statutoffly required
<br /> amounts); (d) plate-glass/glass breakage insurance III coITullercially reasonable amounts; and (e) such other
<br /> insurance, and such other amounts, as may be reasonably required by Landlord or its lender from time to thee,
<br /> Landlord, its lender, and Landlord's designees, shall be named as additional insureds under each insurance
<br /> policy, Each policy shall include an endorsement stating that coverage camiot be terminated or reduced for any
<br /> reason without at least thirty (30) days' prior written notice to Landlord. Prior to Tenant entering upon the
<br /> Premises, and thereafter from time to time upon request front Landlord, Tenant shall provide Landlord with
<br /> certificates of such insurance, and Tenant shall also provide Landlord with ceilif cafes of renewed or
<br /> replacement insurance at least sixty (60) days prior to any expiration of its then current insurance. All.insurance
<br /> required of Tenant hereunder shall be effected under valid and enforceable policies issued by insurers of recognized
<br /> responsibility.
<br /> Section 7.4. waiver of Subrogation. Landlord and Tenant and all parties clahning udder them
<br /> hereby mutually release and discharge each other from all claims and liabilities arising from, or caused by any
<br /> hazard covered by insurance on the Premises, regardless of the cause of the dunnage or loss. Each party shall
<br /> obtain from their insurers any waivers or special endorsements, if required by their insurer to evidence
<br /> compliance with the afore-ieZtioned release.
<br /> Section 7.5. Landlord's Insurance. Landlord will at all times maintain in full force and effect,
<br /> all-risk insurance on the Shopping Center buildings, not the contents, for the full replacement value thereof.
<br /> Landlord shall also maintain general liability and parking lot liability insurance with limits of not less thall
<br /> $550005000.
<br /> Section 8. Landlord's Reserved Ri hts. Following reasonable prior notice to Tenant (except in
<br /> the event of emergency),Landlord and its agents may enter the Premises at reasonable times to make repairs and
<br /> alterations and to show the Premises to others. In conunection with such entries and work, Landlord shall use
<br /> good faith efforts to 1111'nimize interference with Tenant's use of the Premises, Landlord may erect, use and
<br /> maintain pipes, wires, ducts and conduits in and through the Premises, provided the same do not materially
<br /> reduce the Boor area or materially adversely affect the appearance thereof. In addition to the foregoing,
<br /> Landlord reserves the right to make such changes, alterations, additions, improvements,repairs or replacements
<br /> in or to the Shopping Center(including the Premises) as it may deem necessary or desirable;provided,however,
<br /> such work and such alterations shall not, except in case of emergency repairs,permanently mateially adversely
<br /> affect Tenant's use of the Premises. within the last six (6) month of the Tenn, nncluding any extension term,
<br /> Landlord or Landlord's agent may affix to any suitable part of the Premises a notice for letthzg or selling the
<br /> Premises or property of which the Premises are a part and keep the same so affixed without hindrance or
<br /> molestation.
