LIMITED GUARANTY
<br /> Marc S. Sachs, laving an address of 180 Turnpike Road, Shrewsbury, MA 01545 (the
<br /> "Guarantor"}, in consideration of the execution and delivery of, and to induce Nlashpee Gonunons II,
<br /> LLG (the "Landlord") to enter into, the lease dated as of the date hereof (the "Lease") with Sachs
<br /> Jewelers of Mashpee, Inc. (the"'Tenant"), for the premises located at 38 Nathan Ellis Highway, Masllpee,
<br /> Massachusetts, does hereby guaranty to Landlord, its successors and assigns, the payment of all monies
<br /> which may become due Landlord from Tenant under said Lease and the perfonliance. of all other
<br /> obligations due Landlord thereunder,as and when due,in accordance with the tennis of said Lease.
<br /> Guarantor hereby expressly waives demand and/or notices of any default under said Lease,
<br /> acknowledging that Landlord's notices to Tenant under said Lease shall be sufficient notice to Guarantor.
<br /> Guarantor hereby expressly waives all suretyship defenses. Guarantor hereby consents to, without notice
<br /> or demand and without affecting Guarantor's liability hereunder, any inodifcation or amendment of said
<br /> Lease (including, but not hiuiited to, any modifications or amendments which may increase Tenant's
<br /> obligations under the Lease), and any renewal thereof, and the assignment or subletting of the Leased
<br /> Premises, and any indulgences shown to and any release of Tenant by Landlord, and any dealings
<br /> mutually agreed upon between Tenant:and Landlord, from time to time,and Guarantor further agrees that
<br /> its liability shall not be discharged by any such actions. Guarantor agrees to pay any and all costs of
<br /> collection incurred by Landlord in enforcing the teens and provisions of this Guaranty, including, but not
<br /> limited to, attonieys' fees, if an attorney is employed to enforce this Guaranty. This Guaranty, its tenus
<br /> and provisions, shall inure to the benefit of the Landlord, its heirs, legal representatives, successors and
<br /> assigns, and shall be binding on the Guarantor and its heirs, legal representatives, executors, successors
<br /> and assigns. The death or disability of aDy person, including but not linuted to the undersigned, shall in
<br /> no'Way impair or affect this Guaranty.
<br /> This Guaranty is an absolute, pfimary, and continuing guaranty of payment and performance and
<br /> is independent of Tenant's obligations under the Lease. Guarantor waives any right to require Landlord to
<br /> (a)join Tenant with Guarantor in any suit arising under this Guaranty, (b)proceed against or exhaust any
<br /> security given to secure Tenant's obligations under the Lease, or(c)pursue or exhaust any other remedy
<br /> in.Landlord's power. Guarantor hereby waives all demands for perfornzatice, notices of performance, and
<br /> notices of acceptance of this Guaranty. The liability of Guarantor under tl-is Guaranty will not be affected
<br /> by (1) the release or discharge of Tenant from, or impainuent, limitation or modification of, Tenant's
<br /> obligations under the Lease in any bankruptcy, receivership, or other debtor relief proceeding, whether
<br /> state or federal and whether voluntary or involuntary; (2) the rejection or disaffirmance of the Lease in
<br /> any such proceeding or(3) the cessation from any cause whatsoever of the liability of Tenant udder the
<br /> Lease.
<br /> Notwithstanding the foregoing, the liability of the Guarantor hereunder shall terminate in full on
<br /> the second(2"d) anniversary of the Rent Con-unenceinent Date(as defined ill the Lease).
