P. " He interpreted a change of Massachusetts <br /> Law made within the past year, whereby limited liability <br /> corporations and limited liability partnerships are now being <br /> allowed in Massachusetts. As a result, an L.L.C. may be formed <br /> in this regard. If said change is made, under the law, Attorney 1*1 jj. <br /> Butler stated he would present a document to the Planning Board <br /> indicating the same Applicant, different entity. He would then <br /> request permission for approval of name change as the name of a` <br /> record. <br /> The Town Planner inquired as to the process of said document <br /> being recorded. Attorney Butler answered he would present <br /> to the Planning Board an attested copy of the L.L.C. from the <br /> Secretary of State' s office. The original Applicant would <br /> provide a document assigning all of their right, title and <br /> interest to the new entity. He further stated that Planning <br /> Board approval would be recorded along with the Special Permit <br /> (Certification of Transfer of ownership) . <br /> ff <br /> Attorney Butler indicated another possibility would be to <br /> request the Secretary of State allow the existing Limited <br /> Partnership to be converted to an L.L.C. , resulting, technically, <br /> as a basic name change. He further advised he would work this <br /> out and provide the Board with any available materials in advance <br /> of the Meeting. pi i. <br /> After some discussion, it was understood that the <br /> Modification has already been signed; the Phase Approval being a <br /> separate decision. <br /> The Town Planner requested Attorney Butler draft a document <br /> to this effect. Attorney Butler agreed to both draft and record <br /> the document. The Town Planner suggested a Note be taken with <br /> regard to said Phase Approval, to include language referring to 1µ- = <br /> screened vegetation as it relates to the retaining wall. John <br /> Kuchinski suggested the tally of impervious area be included as <br /> r <br /> well, Attorney Butler agreed to all of the above. ++ <br /> Attorney Butler explained that in all probability he would <br /> no in in escrow but directly to records.
