Dunkin Donuts Corporate approval of the site on or before November 25, 1996. <br /> If BUYER fails, on or before December 1, 1996, to notify SELLER of termination on <br /> account of the 21E study being unsuccessful, or failure of corporate approval of the site, <br /> the foregoing contingencies shall be deemed waived. <br /> 3 The BUYER's ability to obtain all state and local approvals necessary to obtain a <br /> building permit to erect a Dunkin Donuts with a drive-through window on the subject <br /> premises. BUYER shall, upon execution of a mutually agreeable Purchase and Sale <br /> Agreement, commence the necessary actions and proceedings and use due diligence to <br /> obtain all approvals and permits at their expense within 90 days. SELLER shall cooperate <br /> in such efforts. In the event the BUYER requires additional time to obtain the approvals <br /> and permits, the parties agree to-extend the closing date for a period of 60 days, and no <br /> more. If such extension is needed, SELLER shall be notified at least three days prior to <br /> the expiration of the initial 90 day permit period. A copy of all filings and plans shall be <br /> delivered to SELLER upon submission. If BUYER does not purchase the premises, <br /> BUYER shall assign all plans and reports to SELLER, all such plans and reports to be <br /> paid for by BUYER. Any site testing shall be at BUYER's sole risk, and any damage to <br /> the premises due to such testing shall be promptly restored at BUYER's expense. <br /> 4. It is understood by the parties hereto that the SELLER intends to exchange said <br /> investment property in a tax-free exchange pursuant to Section 1031 of the Internal <br /> Revenue Code of 1986. All related legal expenses to be paid by SELLER. BUYER shall <br /> be indemnified from any expenses relating to said exchange. BUYER acknowledges that <br /> time is of the essence in closing within time periods allowed by the Internal Revenue <br /> Code. <br /> 5, A copy of any notice to SELLER under this Agreement shall be sent to Robert H. <br /> Ament, Ament & Ament, Attorneys, P.O.
