The terms set forth in this Agreement are made without admission or inference whatsoever of liability, wrongdoing or fault relative to any tort, breach of contract or violation of any statute or law or wrongdoing of any kind, by any of the Parties, and are not an admission or finding that any claims that were or might have been brought by any Party are or would be in any way valid or meritorious. S. Entire Aureement. This Agreement contains all terms with respect to the subject matter contained herein, and supersedes any prior agreements, oral or written, express or implied_ There are no other written or oral agreements, understandings or arrangements except as set forth herein. The terms of this Agreement may not be modified or waived except in writing signed by the Parties, or their representatives. 9. Enforcement of this Agreement; The Parties, individually and collectively, agree that if it is determined that any provision or provisions of this Agreement is invalid, illegal, or otherwise unenforceable in any respect, in any instance, such determination shall not affect the validity, legality, or enforceability of any other provision or provisions of the Agreement. 10. Execution, in Counterparts: The Parties, individually and collectively, agree that this Agreement shall become effective when executed by the Plaintiffs, and may be executed in counterparts, any one of which shall be deemed to be an original instrument. 11. Law. ,2 L Tovernin. This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts and shall be binding upon, and shall inure to the benefit of, the Parties and their personal representatives, beneficiaries, trustees, heirs, privies, executors, administrators, successors and assigns, and anyone claiming benefit or right through them. 12. Voluntar-,,° Execution. The Parties acknowledge they are executing this Agreement voluntarily, that they fully understand the terms of this Agreement, and that the execution hereof is with the full knowledge that this Agreement covers all possible claims which they may have against one another from the beginning of time until the date of dismissal of the current litigation. 4
