CHARTER REVIEW COMMITTEE <br /> DRAFT Regular Session Minutes <br /> December 1, 2025 <br /> Meeting called to order by the Chair at 6 PM in the Waquoit Meeting Room. <br /> Present: Rodney Collins, Chair David Weeden, Vice-Chair Greg McKelvey, Clerk <br /> Darlene Fur bush Catherine Lewis John Miller <br /> Mary Waygan (Remote) <br /> Absent: Carol Sherman Brian Weeden <br /> PLEDGE OF ALLEGIANCE <br /> MOMENT OF SILENCE <br /> PUBLIC COMMENT <br /> MINUTES <br /> It was noted that the draft minutes reflected Miller as Clerk, and this should be amended to <br /> reflect McKelvey as Clerk. <br /> Motion by McKelvey to approve the minutes of the October 27, 2025 meeting, as amended <br /> Motion seconded by Waygan <br /> Roll Call Vote: 6-0(Unanimous) <br /> John Miller,yes Darlene Furbush, yes Catherine Lewis,yes <br /> Mary Waygan, yes Greg McKelvey, yes Rodney Collins, yes <br /> Note: David Wee den was not present for this vote. <br /> OLD BUSINESS <br /> Review of le i <br /> g,@o inion and clarification of what constitutes a meetJqg_gqorum <br /> • A legal opinion received from Town Counsel on December 1, 2025 was read into the <br /> record. <br /> • Key Points: <br /> • Quorum is defined as a majority of all members unless specific law or bylaw states <br /> otherwise. <br /> • Section 7.8 of the Charter states a quorum is a majority of members "then in <br /> office". <br /> • More specific legal provisions (i.e., Section 7.8) override broader definitions <br /> concerning quorum. <br /> • Alternate/Associate members can only be counted towards a quorum and vote if <br /> authorized by the enabling law and if specifically designated by the Chair to <br /> participate for a particular meeting or item. <br />
