Mr. Tilton <br />seconded the motion. All voted unanimously. <br />Canossa Disposal Corp. Proposed Agreement <br />Chairman Laurent referenced Mr. Cavossa's email regarding price proposal options and her <br />drafted chart that includes a representation of fixed price and fixed with a performance option <br />over a 3 -year time frame. Performance based included trash, C&D and a combination of the <br />two. There was discussion regarding the chart. <br />Mr. Richard inquired whether the Board was comfortable with the performance options offered. <br />Mr. Jack responded that he was inclined to support the guaranteed value of a tiered fixed fee <br />since a performance only based fee provided no control over volume, and would also require <br />auditing. The Chair agreed, but suggested identifying a maximum for re -negotiation in case <br />volumes from other sources were to increase at the site. Mr. Tilton agreed, preferring the fixed <br />fee option and distributed his own chart based on Mr. Cavossa's proposal. Mr. Tilton suggested <br />the possibility of countering at a higher rate. <br />It was pointed out that Falmouth and Mashpee would be most impacted by traffic. Mr. Jack <br />responded that, based on Mr. Cavossa's projections for trips per day, it would not be <br />insurmountable, but that it could get out of control. The Chair noted that, although current use <br />would be 8-12 per day, trips could be maximized to 20-24 per day and recommended a threshold <br />of tonnage. Mr. Tilton inquired whether a threshold be based on tonnage or trips. There was <br />discussion regarding how trips would be monitored. Mr. Jack also pointed out the difference <br />
