The amounts payable to GHD for Reimbursable Expenses will be the Project-related internal expenses <br /> actually incurred or allocated by GHD, plus all invoiced external Reimbursable Expenses allocable to the <br /> Project, the latter multiplied by a factor of 1.05. <br /> D. The Reimbursable Expenses Schedule will be adjusted annually (on July 1)to reflect equitable changes <br /> in the compensation payable to GHD. <br /> 3. Other Provisions Concerning Payment <br /> A. Whenever GHD is entitled to compensation for the charges of GHD's Consultants, those charges shall <br /> be the amounts billed by GHD's Consultants to GHD times a factor of 1.05. <br /> B. Factors: The external Reimbursable Expenses and GHD's Consultant's factors include GHD's overhead <br /> and profit associated with GHD's responsibility for the administration of such services and costs. <br /> C. Estimated Compensation Amounts: <br /> i. GHD's estimate of the amounts that will become payable for specified services are only estimates for <br /> planning purposes, are not binding on the parties, and are not the minimum or maximum amounts <br /> payable to GHD under the Agreement. <br /> D. To the extent necessary to verify GHD's charges and upon Town's timely request,GHD shall make copies <br /> of such records available to Town at cost. <br /> PERIOD OF SERVICE <br /> The above Scope of Services, up to and including submission to the DEP SRF program, unless the Parties otherwise <br /> agree in writing, is anticipated to be performed in accordance with the schedule outlined below(assuming a Notice to <br /> Proceed date by July 1, 2021): <br /> • Town decisions on Task 1.2 are completed by October 1, 2022. <br /> • Provide preliminary sewer related documents to Town Transportation Engineering Consultant by March 2023. <br /> • SRF PEF Submission—August 2024. <br /> • SRF Application Submission—Spring 2025. <br /> • Bid Ready Documents—Fall 2025. <br /> GHD shall respond to comments from MassDEP, and GHD may continue to attend to the project tasks after the SRF <br /> submission if needed to complete the sewer-related contract documents and within the limits of the Not to Exceed <br /> value of this contract.
