12. Headings. The section and paragraph headings contained in this Agreement are <br /> for convenience of reference purposes only and shall not affect the meaning or interpretation of <br /> this Agreement. <br /> 13. Dispute Resolution. <br /> (a) In the event of any dispute,claim, or controversy arising out of or relating to this <br /> Agreement or the breach,termination, enforcement,interpretation or validity thereof,then the <br /> Superior Court for Suffolk County, Massachusetts (the"Superior Court") shall have jurisdiction <br /> over any action relating to same(a"Superior Court Action"), and the Parties agree that venue is <br /> proper in the Superior Court,and that the Superior Court shall have personal jurisdiction over the <br /> Parties for purposes of that action. A Party filing a Superior Court Action shall file the <br /> complaint and a BLS Civil Action Cover Sheet with the Suffolk County Civil Clerk's Office, and <br /> shall take such steps as are reasonably required to cause the Superior Court Action to be accepted <br /> by the Business Litigation Session of the Superior Court. Each Party waives any right to contest <br /> the venue of the Business Litigation Session of the Superior Court. Provided,however,that in <br /> the event that the amount in controversy falls below the threshold for a Superior Court Action, <br /> and the Superior Court does not otherwise have jurisdiction over the claims,then the Party <br /> seeking to bring a claim may do so by initiating proceedings in the Boston Municipal Court(a <br /> "BMC Action") and the Parties agree that venue is proper in the Boston Municipal Court, and <br /> that the Boston Municipal Court shall have personal jurisdiction over the Parties for purposes of <br /> that action. Any Superior Court Action or BMC Action claiming, directly or indirectly,that a <br /> Party failed to follow the Agreed-Upon Methodology in connection with a given Central <br /> Valuation must be filed no later than thirty(30)days after issuance of the Central Valuation. <br />
