16. Power and Authori . Each of the Parties to this Agreement represents and warrants that it has full and complete power and authority to enter into this Agreement and that the person signing below on behalf of that Party has full authority to sign on behalf of that Party. 17. Execution of Agree q4t and Effective,Date. This Agreement maybe executed in one or more counterparts,each of which when so executed shall be deemed to constitute an original,and such duly executed counterparts shall be deemed to constitute one and the same instrument. A photocopy or facsimile of a duly executed original shall have the same force and effect as an original.A counterpart of this Agreement must be duly executed, dated and delivered by Mashpee to the Commissioner and the Taxpayer no later than June 1,2022. Said delivery shall be made via execution of the Agreement via Docusign or via e-mail transmission to Andrew O'Meara(as to the Commissioner) and William A.Hazel (as to the Taxpayer)using the e-mail addresses listed in paragraph no. 18 below. The effective date of this Agreement shall be the latest date set forth next to a signature of a Party appearing below,provided,however,that this Agreement shall not become effective unless it has been signed, dated and delivered by June 1,2022 in accordance with the requirements hereof. This paragraph is subject to the limitation on effectiveness provisions in paragraph no. 9 above. 18. Notice.
