Now,therefore,the Parties,for the benefit of themselves and their successors and <br /> assigns,hereby agree as follows: <br /> 1. The Willowbend Parties hereby GRANT to the Town, its contractors, <br /> agents and successors,with Quitclaim Covenants, a perpetual,non- <br /> exclusive easement,for access on foot or by vehicle or equipment,to <br /> the Access Easement Area as shown ori the Easement Plan for purposes <br /> of constructing,maintaining,inspecting and repairing from time to time <br /> the headwall and associated improvements related to the culvert to be <br /> installed beneath Quinaquisset Avenue. This Access Easement is <br /> granted subject to the following terms and conditions: <br /> a. The Town shall be responsible for the cost of procuring and installing <br /> any permanent improvements with respect to the roadway drainage <br /> alvert-and facilities aMurtenant thereto installed tbin the Access <br /> Easement Area and for all future repair and maintenance costs <br /> associated therewith; <br /> b. The Willowbend Parties shall be responsible for all costs and expenses <br /> relative to`the procurement of the water control structure and related <br /> ductile iron piping to be installed appurtenant to their use of the Golf <br /> Course Parcel and any bogs located thereon, and for all future repair <br /> and maintenance costs associated therewith. The Town shall be <br /> responsible only for the initial constructiont installation of said water <br /> control structure improvements in conjunction with construction of the <br /> culvert improvements specified above; <br /> c. Upon completion of work within the Access Easement Area from <br /> time to time,the Town shall restore and maintain the Access Easement <br /> Area, exclusive of the water control structure and related piping, in a <br /> neat, safe and attractive condition; <br /> d. The Town shall defend,.indemnify and hold harmless the Willowbend <br /> Parties from any-loss, cost,damage or expense arising out of the use <br /> of the Access Easement Area by the Town,its contractors, agents or <br /> employees; <br /> e The Willowbend Parties-shall have the right to use the Access <br /> Easement Area from time to time, and to pass thereover,by foot or <br /> vehicle, including the use of any paths or ways now thereon for all <br /> purposes,provided such use shall not unreasonably interfere with the <br /> Town's easement rights as specified above; <br /> 2. The Town hereby GRANTS to Willowbend and the Trustees for the <br /> benefit of the Golf Course Premises,with Quitclaim Covenants, a <br /> perpetual,non-exclusive easement,to use,maintain, improve and repair <br /> from time to time the Irrigation Line Easement Area, including without, <br /> limitation the right to install pipes, conduit,meters,wiring, cable, <br />
