8. Vacancies. Continuing members of the board of directors may act despite a <br /> vacancy or vacancies in the board of directors and shall for this purpose be deemed to constitute <br /> the full board of directors. Any vacancy in the board of directors,however occurring, may be <br /> filled by the directors at any meeting of directors. Vacancies, if filled, shall be filled for the <br /> balance of the term <br /> 9. Removal. An elected member of the board of directors way be removed from <br /> office at any time with or without cause at a meeting of members. An elected member of the <br /> board of directors may be removed for cause only after a reasonable notice and opportunity to be <br /> heard before the body proposing to remove him <br /> 10. Resignation. Resignations by members of the board of directors shall be given in <br /> writing to the president,treasurer,or clerk. <br /> Article IV <br /> Officers <br /> 1. Officers. The officers of the corporation shall be a president, a treasurer and a <br /> clerk and such other officers as the board of directors may in their discretion appoint. The <br /> officers shall be elected by the members at the annual meeting. The president and the treasurer <br /> shall be directors. The clerk shall be a resident of Massachusetts but need not be a director. To <br /> the extentPe rmitted b law two or more offices may be filled by the same person. Each <br /> Y any <br /> officer shall, subject to these by-laws,have in addition to the duties and powers herein set forth <br /> such duties and powers as are commonly incident to his office, and such duties and powers as the <br /> board of directors may from time to time designate. <br /> - 3 - <br />
