2. Vacancies. Any vacancy among any officers of the corporation may be filled by <br /> the board of directors. Officers elected to fill any vacancy shall hold office for the unexpired <br /> term <br /> 3. Removal. An elected officer may be removed from office at any time with or <br /> without cause at a meeting of the members. Officers elected or appointed by the board of <br /> directors may be removed from their respective offices with or without cause by vote of a <br /> majority of the members of the board of directors then in office. An elected officer may be <br /> removed for cause only after a reasonable notice and opportunity to be heard before the body <br /> proposing to remove him. <br /> 4. Resignation Resignations by officers shall be given in writing to the president, <br /> treasurer or clerk. <br /> Article V <br /> President <br /> The president shall be the chief policy-making officer of the corporation. He shall <br /> preside at all meetings of the members and the board of directors at which he is present. The <br /> president shall, subject to the supervision of the directors,have charge of the affairs of the <br /> corporation and in addition to the powers and duties customarily belonging to the office,the <br /> powers and duties designated from time to time by the directors. He shall report on the activities <br /> of the corporation to the directors and members at least once a year and at such other times as <br /> they may request. <br /> - 4- <br />
