Article VI <br /> Clerk <br /> 1. The clerk shall keep a true record of all meetings of the members and the directors <br /> in a book to be kept therefor,which book shall be kept either at the principal office of the <br /> corporation or at the office of the clerk and shall be open at all reasonable times to the inspection <br /> of any member. In the absence of the clerk, or the assistant clerk, if any, at any such meeting a <br /> temporary clerk shall be chosen,who shall record-the proceedings of such meeting in the <br /> aforesaid book. The clerk, the assistant clerk, and such temporary clerk shall be sworn. In <br /> addition,the clerk shall have custody of the seal of the corporation. <br /> 2. The clerk shall also keep or cause to be kept the membership books of the <br /> corporation, which shall contain a complete list of all members and their residences, at an office <br /> of the corporation in The Commonwealth of Massachusetts or at the office of the clerk for the <br /> inspection of the members. <br /> Article VII <br /> Treasurer <br /> I. The treasurer shall have general charge of the corporation's financial affairs, the <br /> care and custody of the funds and valuable papers of the corporation, except his own bond, if <br /> any, and shall deposit the same in the name of the corporation in such bank or trust companies as <br /> the board of directors shall designate. He shall have power to endorse for deposit or collection <br /> all notes,checks, drafts and other obligations for the payment of money payable to the <br /> corporation or its order,and to accept drafts on behalf of the corporation. He shall report the <br /> financial condition of the corporation to the directors and members at least annually and at such <br /> other times as they may request. <br /> - 5 - <br />
