If OWNER designates a construction manager or an individual or entity other than, or in addition to, <br /> ENGINEER to represent OWNER at the Site,define and set forth as an attachment to this Amendment <br /> the duties, responsibilities,and limitations of authority of such other party and the relation thereof to the <br /> duties, responsibilities,and authority of ENGINEER. <br /> 10. Attend the pre-construction conferences, construction progress and other job-related meetings, and <br /> Substantial Completion and final payment visits to the Project. <br /> 11. Inform ENGINEER in writing of any specific requirements of safety or security programs that are <br /> applicable to ENGINEER, as a visitor to the Site. <br /> 12. Have a wastewater utility in place to support the management`of the wastewater system by an agreed- <br /> to date which shall be no later than Substantial Completion of the first completed construction contract. <br /> 13. Contract with wastewater operator(s) for the WRRF and collection system six (6) months before <br /> substantial completion of the first completed construction contract to allow the operators to be trained <br /> in the new equipment and systems. <br /> 14. With the assistance of the ENGINEER, develop an activation plan which supports the delivery of a <br /> minimum of 10 percent of the Phase 1 wastewater flows to the WRRF.no dater than four months after <br /> reaching Substantial Completion for Contract 1 'The activation plan shall address coordination with <br /> property owners in tying into the collection system.The activation plan should mandate property owner <br /> tie-ins within a prescribed period of time,(i.e. one-year). ,Introduction of wastewater to the WRRF will <br /> allow wastewater testing of equipment to be completed within the first 6 months after substantial <br /> completion of the WRRF. This in turn results ih the testing and initial equipment use to be done during <br /> the standard warranty per,'iod. <br /> PART S. PAYMENTS TO GHD FO 'SERVICES' <br /> 5.01 Payment terms are described ipithe;fol,lowing, and in Exhibits A and B to this Amendment No.4. <br /> t e <br /> A. The costs are estimaI.ted at a not-to-exceed total amount of Six Million Three Hundred Thousand Dollars <br /> ($6, 00,000.00) for the Basic Services outlined <br /> 3 in the above Scope of Services. A monthly invoice will be <br /> submitted in accordance,with the attached Estimated Budget Summary Breakdown included as Exhibit A <br /> and the,compensation for Basic Services outlined below: <br /> 1. Compensation for Basic Services —Salary Costs Times a Factor Method of Payment <br /> a. OWNER shall payGHD for Basic Services set forth herein, as follows: <br /> i An arnount1equal to GHD's Salary Costs times a factor of 2.4 for all Basic Services by <br /> principals and employees engaged directly on the Project, plus Reimbursable <br /> Expenses. <br /> ii. GHD's Reimbursable Expenses Schedule is attached to this Amendment as Exhibit B. <br /> iii. GHD may alter the distribution of compensation between individual phases of the work <br /> noted herein to be consistent with services actually rendered, but shall not exceed the <br /> total estimated compensation amount unless approved in writing by OWNER.
