The total compensation for GHD's services, included in the breakdown as outlined in <br /> the Estimated Budget Summary Breakdown, incorporates all labor, overhead, profit, <br /> Reimbursable Expenses, and GHD's Consultant's charges. <br /> v. The portion of the amounts billed for GHD's services will be based on the applicable <br /> Salary Costs for the cumulative hours charged to the Project incurred during the billing <br /> period by GHD's principals and employees multiplied by the above designated factor, <br /> plus Reimbursable Expenses and GHD's Consultant's charges. <br /> vi. Salary Costs means salaries and wages paid to GHD's employees plus the cost of <br /> customary and statutory benefits including; but not limited to, social security <br /> contributions,unemployment,excise and.payroll taxes,workers'compensation, health <br /> and retirement benefits, bonuses, sick leave, vacation, and holiday pay applicable <br /> thereto. <br /> vii. Salary Costs and the factor applied to Salary Costs will be adjusted annually (on July <br /> 1)to reflect equitable changes in the compensation payable to GHD. <br /> 2. Compensation for Reimbursable Expenses <br /> a. OWNER shall pay GHD for all Reimbursable Expenses at the rates set forth in Exhibit B to <br /> this Amendment. <br /> b. Reimbursable Expenses ,include ,the expenses identified in Exhibit B and the following: <br /> transportation (including mileage),lodging, and subsistence incidental thereto; providing and <br /> maintaining;field office facilities including furnishings and„utilities; toll telephone calls, mobile <br /> phone charges, ;and courier charges, ;reproduction of reports, Drawings, Specifications, <br /> bidding'=related or other procurement''documents,'Construction Contract Documents, and <br /> similar Project-related;items; and Consultants' charges. In addition, if authorized in advance <br /> by OWNER;'Reimbursable Expene4 will also include expenses incurred for the use of highly <br /> specialized equipment <br /> c. The amounts payable to GHD for'Reimbursable Expenses will be the Project-related internal <br /> expenses actually incurred or allocated by GHD, plus all invoiced external Reimbursable <br /> Expenses allocable to the Project, the latter multiplied by a factor of 1.05. <br /> I <br /> d. The Reimbursable, Expenses Schedule will be adjusted annually (on July 1) to reflect <br /> equitable changes h the compensation payable to GHD. <br /> 3. Other Provisions`Concerning Payment <br /> a. Whenever GHD is entitled to compensation for the charges of GHD's Consultants, those <br /> charges shall be the amounts billed by GHD's Consultants to GHD times a factor of 1,05. <br /> b. Factors: The external Reimbursable Expenses and GHD's Consultant's factors include <br /> GHD's overhead and profit associated with GHD's responsibility for the administration of <br /> such services and costs. <br /> c.
