Article V <br /> Section 1 <br /> - Regular meetings shall be held in the Public Library on the second Tuesday of <br /> the month. <br /> - Members may participate remotely per MA Open Meeting Law provision. <br /> Meeting Day Expectation Discussion <br /> There was a suggestion to meet every other month or at least six times a year. <br /> Sandi Lahart likes that idea, she commented that the time in between meetings <br /> goes by fast. Kate Milde prefers the language to say meet at least six times a <br /> year, not meet every other month. <br /> The Library Director added that a special meeting or Zoom meeting could be <br /> called additionally if needed, but it may help with the structure of the policy <br /> review. <br /> Ruth Nickerson thinks the way it has been going is fine, they have canceled or <br /> changed meetings in the past. If it is written they only meet six times, then the <br /> quorum issue comes into play. Mary LeClairlikes the continuity of meeting every <br /> month. <br /> The Library Director stated they could change it to say meetings will be held on <br /> the second Tuesday of the month, at least 8 times a year. <br /> Beth Geatrakas would like to discuss this further with a full Board present. <br /> The Library Director has everyone's contact information and will update a list of <br /> members accordingly for distribution. <br /> Article VI <br /> Section 3: A potential conflict of interest could arise if a Friends of the Library <br /> member becomes a Trustee. The Trustees appoint a Liaison to the Friends of the <br /> Library board. The role of that person needs to be clarified. Going forward, the <br /> Chair of the Trustees should not be the Liaison to the Friends. The Friends <br /> should also be aware that the Liaison may not be able to provide an answer or <br /> approval to any question orrequest immediately. No individual Trustee can make <br /> decisions on behalf of the Board, unless authorized by a vote of the Board. <br /> MGL Sections 10 — 12: references MA General Law stating the number of <br /> members of a Board of Trustees should be divisible by 3, however; the Town <br /> 3 <br />
