Trustee Bylaws Review and Updates <br /> Beth Geatrakas sentchanges, revisionsare marked in red font for the 6t" edition <br /> of the Trustee Bylaws. <br /> Ruth Nickerson would like to go around the table and allow each member to <br /> discuss their revisions. <br /> Article II <br /> Purpose-The Library Director noted that the Bylaws should reflect provisions of <br /> the Town of Mashpee Charterwhen applicable and not rely on MA General Law. <br /> The Town of Mashpee Charter provisions supersede MA General Law. <br /> There was discussion of the phrases "Management and Custody" of the library <br /> building and grounds as referenced in MA General Law. It was noted that per the <br /> Town Charter, the Town is responsible for the maintenance and repair operations <br /> for all building and grounds owned by the Town, including the Mashpee Public <br /> Schools and Public Library. The Trustees set policies in terms of Library usage, <br /> services, and hours of operation, butare not responsiblefor managing repairand <br /> maintenance functions. <br /> Article III <br /> Membership Resignation <br /> Any member may resign by written notice filed with the Town Clerk, who will then <br /> notify the Select Board. A vacancy shall be filled by joint meeting of Trustees and <br /> Select Board members. The vacancy will be filled within 60 days. <br /> Attendance <br /> Regular attendance at board meetings is expected. It was noted that if a member <br /> was no longerable to attend meetings, they should voluntarily resign their seat. <br /> This cannotbe required of an elected official. Discussion on this topic suggested <br /> to adopta provision that provided guidance, such as after 4 consecutive missed <br /> meetings, a letter may be written from the Chair reminding that board member <br /> that they have an obligation to attend meetings. It was also recognized that there <br /> may be extenuating circumstances resulting in the member's inability to attend <br /> meetings. However, there needs to be a pathway identified for dealing with this <br /> scenario in the future. This is something to consider further at another meeting. <br /> If a membercannot make it to a meeting, they should notify the Chair or a fellow <br /> member, and the Library Director. <br /> 2 <br />
