# I've also updated the list of members and organizational chart, which is also being
distributed tonight.
The final item that Mrs. Botsford wished to address is a reorganization of staff. So much has
changed since we've been taking on management agreements and Mrs. Botsford stated that she
could not have done it all without the wonderful assistance of Ms. Carol Mitchell . Her job has
morphed into more of an upper management one, and with the new responsibilities Mrs. Botsford
will have if we continue with Carver hand any other potential future man.agemen't agreements),
Mrs. Botsford will need to rely more on Ms. Mitchell to take on some more responsibilities.
With the added management fee, we should be able to add a part time assistant for IVIS. Mitchell,
to handle some of the simpler office tasks---maybe just a few hours a week. Mrs. Botsford
would like to offer Ms. Mitchell the new position of Assistant Executive Director. with this
would cone a new job description and a pay increase. Mrs. Botsford would like the board to
consider this, and to consider a.pay increase of$10, 000.00 if Ms. Mitchell accepts this new
position/job description. A discussion ensued. IVIS. Allen asked what would happen if we lost
Carver or Brewster. Mrs. Botsford explained that a large part of IVIS. Mitchell's current salary is
from the Brewster management agreement, as Mrs. Botsford did not take as big an increase. The
10,000 additional would come from the management fee for Carver, since DHCD did not
approve what Mrs. Botsford requested and the board approved. (More on this later in the
meeting). Mrs. Botsford explained that, like all positions that rely on our multiple management
agreements, if a management agreement is last (whether it be Great Cove Community, sher's
Path, Brewster or Carver), employees' salaries would need to be reduced based on the loss of the
management fee lost. More discussion ensued a motion was made by Jill Allen and seconded
by Lisa Pena to allow Mrs. Botsford to reorganize the staff, offer Ms. Mitchell the new
position,job-description and raise, and that a part-time assistant he hired to assist Ms.
Mitchell, if the Carver Management Agreement is continued. The motion was adopted. The
board members asked that Mrs. Botsford relay to Ms. Mitchell the amount of confidence the
board has in her and how much they appreciate her assistance.
OLD BUSINESS:
a) Management of Carver Housing Authorlty. Mrs. Botsford reminded the board that they
had given authorization to the chairman to sign the agreement on behalf of the housing
authority once it is approved by DHCD and to have Mrs, Botsford start her work there at
that time. Mrs. Botsford had received a call from the new Associate Director at DH D,
Amy Stitely, who stated she wished to approve a management fee of$30,000.00 but not
$35.,000.00 DH D's Laura.Taylor had previously approved. The $5,000.00 reduction
would be taken from Mrs. Botsford}s stipend, reducing it from $15,000.00 to 10,000.
Mrs. Botsford took some time to discuss this with the chair, and also to think about it, but
ultimately the contract was sighed for$30,000.00 effective August 28, 2017. Mrs.
Botsford actually started working about a week before that date because so much is
needed to be done at Carver. A short discussion ensued and a motion was made by Till
Allen and seconded by Richard Halpern to finalize and approve the contract that
was signed by the chair. The motion was adopted, Mrs. Botsford staged that her 30
Page 3 of 6
